Regarding the airbox, i'd leave it as is - oiled panel filters will kill the maf and foam cones will suck in hot air. People have run double stock power through the oem airbox, it's really not a restriction.
Changing the engine isn't a problem legally, theoretically you should give the dvla the new engine number, but as often as not the engine number is unreadable and changing an engine like for like is not exactly the kind of thing they're concerned about.
